    texmf/web2c is supposed to contain system-specific stuff.  Any objections? 

texmf/web2c might not be writable.  How about $TEXMFVAR/web2c?

    I don't remember the reason for having texmf and texmf-dist.  

See the texmf*/README files.  In theory, texmf-dist could be shared
between miktex and tl, although in practice I doubt it will ever happen.

wholesale changes to the directory structure yet again without some
overwhelming reason.

texmf-doc contains packages that are purely documentation, no runtime
stuff.  (E.g., TEXINPUTS does not include texmf-doc.)  I would not
describe them all as "tutorials".
